Part B – Distance Sales Agreement
1. Parties
1.1 Seller: Nety4work Yazılım Sanayi ve Ticaret Limited Şirketi, Osmanağa Mah. Nihal Sok. Nihal Apt. No: 2 Daire: 10, 34714 Kadıköy, Istanbul, Türkiye; Kadıköy Tax Office 0711041323; support@juriscross.com; +90 533 647 34 40 ("Juris Cross").
1.2 Buyer: the member, law firm or business partner whose name, address and billing details are entered at checkout ("Buyer").
2. Subject
This agreement sets out the parties' rights and obligations for the sale, through juriscross.com, of the service described in clause 3. It is concluded electronically when the Buyer accepts it at checkout and completes payment, and it forms part of the Juris Cross Terms of Service. If they conflict, this agreement prevails on the sale itself and the Terms prevail on use of the platform.
3. Service and price
3.1 The service is, as selected by the Buyer: (a) a subscription giving access to the features of the chosen plan for the chosen billing period; or (b) a one-time identity verification check under clause 9 of the Terms.
3.2 The plan, billing period, price, VAT and total amount are shown in the order summary before payment and in the confirmation e-mail. Prices are exclusive of VAT.
3.3 Juris Cross charges only for platform access. It takes no commission on fees agreed between members for legal work.
4. Payment
4.1 Payment is made by credit or debit card through PayTR Ödeme ve Elektronik Para Kuruluşu A.Ş., a licensed payment and electronic money institution. Card details are entered on PayTR's secure payment page and are not received or stored by Juris Cross.
4.2 Each purchase is a single payment for one billing period. Juris Cross does not store the card and does not charge it again without a new order. Juris Cross sends an e-mail reminder before a paid period ends.
4.3 Juris Cross issues an invoice for each payment under Turkish tax rules and sends it to the e-mail address on the account.
4.4 If the card issuer reverses a payment without cause, Juris Cross may suspend paid features until the amount is settled.
5. Performance
5.1 The service is delivered electronically. Access to the paid plan is activated on the Buyer's account immediately after payment is confirmed, and Juris Cross sends a confirmation e-mail.
5.2 A verification check starts when the Buyer begins the verification flow and is completed within 10 business days, depending on the documents provided.
5.3 If access is not activated within 24 hours of a confirmed payment, the Buyer should contact support@juriscross.com. If Juris Cross cannot provide the service, it refunds the full amount within 14 days.
6. Right of withdrawal
6.1 The service is sold to legal professionals acting in the course of their profession. Consumer withdrawal rights do not apply to purchases made in a professional capacity.
6.2 If the Buyer nevertheless qualifies as a consumer under Turkish Law No. 6502 on Consumer Protection, the Buyer may withdraw from the agreement within 14 days of its conclusion without giving reasons, by e-mail to support@juriscross.com.
6.3 At checkout the Buyer may ask for the service to start immediately. If the Buyer does so and confirms that it understands that the right of withdrawal ends once performance has started, the right of withdrawal does not apply after access is activated or the verification check has begun, as permitted by article 15 of the Regulation on Distance Contracts.
6.4 After a valid withdrawal, Juris Cross refunds all amounts paid within 14 days of receiving the notice, to the card used for payment.
7. Cancellation and renewal
7.1 A subscription runs for the paid billing period and does not renew automatically. The Buyer continues by placing a new order. No cancellation is needed, and access continues until the end of the paid period.
7.2 Juris Cross may change prices for future purchases with at least 30 days' notice. A price change does not affect a period already paid for.
8. Refunds
8.1 Amounts paid for a billing period that has started are not refunded, except:
- under clause 6, where the right of withdrawal applies;
- where Juris Cross cannot provide the service (clause 5.3);
- where a verification check cannot be completed for reasons attributable to Juris Cross or its provider (Terms, clause 9.3);
- where Juris Cross ends the Buyer's account without breach by the Buyer, in which case the unused part of the period is refunded (Terms, clause 17.4); and
- in any other case where the law requires a refund.
8.2 Refunds are made to the card used for payment, through PayTR. The time it takes for the amount to appear on the card statement depends on the card issuer.
9. Buyer's status and obligations
9.1 By accepting this agreement the Buyer confirms that it is purchasing for professional purposes and that the billing information it provides is accurate.
9.2 The Buyer is responsible for keeping its account and e-mail access secure and for using the service in line with the Terms of Service.
10. Disputes
10.1 Disputes between Juris Cross and a professional Buyer are resolved under clause 20 of the Terms of Service (Turkish law; ISTAC arbitration).
10.2 A Buyer who qualifies as a consumer may apply to the consumer arbitration committee (tüketici hakem heyeti) or the consumer court (tüketici mahkemesi) of its place of residence or of the place where the transaction took place, within the monetary limits announced each year by the Ministry of Trade.
11. Electronic acceptance and records
11.1 The Buyer accepts this agreement and confirms that it has read the Pre-Contract Information (Part A) by ticking the acceptance box at checkout before payment.
11.2 Juris Cross sends a copy of this agreement and the order details to the Buyer's e-mail address after payment and keeps the agreement and acceptance records for ten years. The Buyer can request a copy at any time from support@juriscross.com.
11.3 Juris Cross's electronic records of the order, payment and acceptance are evidence under article 193 of the Turkish Code of Civil Procedure, without prejudice to proof to the contrary.
